  • Summary

    Our client is seeking a Senior Deputy General Counsel to support securities compliance, corporate governance, and broader corporate legal matters. This role will work cross-functionally with senior leadership, finance, investor relations, and HR, and will play a key role in ensuring compliance with public company obligations while supporting strategic initiatives.

    Key Responsibilities
    • Support preparation and review of SEC filings, including 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings
    • Ensure compliance with applicable securities laws and stock exchange listing requirements
    • Assist with earnings releases, investor communications, and public disclosures
    • Advise on disclosure obligations and regulatory requirements
    • Support insider trading compliance and related policies
    • Support board and committee processes, including preparation of materials, resolutions, and minutes
    • Maintain corporate governance documents such as bylaws, committee charters, and policies
    • Assist with annual shareholder meeting preparation and proxy processes
    • Provide guidance on governance best practices and emerging regulatory expectations
    • Support ESG-related initiatives, disclosures, and compliance efforts
    • Provide legal support on executive compensation, equity plans, and related matters
    • Assist with corporate transactions, including financings and M&A activity
    • Partner cross-functionally with finance, HR, and other business units
    • Draft, review, and negotiate a variety of agreements, including services, technology, and marketing contracts
    • Manage and coordinate with outside counsel as needed
    • Support additional legal initiatives and projects as assigned
    Qualifications
    • J.D. from an accredited law school and active bar membership in good standing
    • 5+ years of experience in securities law, corporate governance, and transactional matters
    • Experience at a law firm and/or in‑house at a public company preferred
    • Strong knowledge of U.S. securities regulations and governance standards
    • Experience supporting board‑level matters and senior leadership
    • Base salary $240K – $280K based on experience
    • Equity participation
