As the Deputy General Counsel, you will be working well individually and with multiple teams across the Company's business units. Reporting to the General Counsel, this position is responsible for implementing and maintaining the overall legal strategy for the Company, including through participation with deal teams to develop and close transactions involving solar energy projects. You will advise business units on matters including deal structuring, revenue generation, real estate, environmental regulation and permitting rules, corporate entity structures, and state and local regulatory matters. Considerable client and partner interaction will be typical. Strong intellectual curiosity and a drive to learn the commercial and practical aspects of our business are as important as bringing your legal knowledge and skills to bear.Key Responsibilities and OpportunitiesDay-to-day management of transactional legal matters for any deal team you are on – typically 3-5 teams at any given time, including negotiating, documenting, managing, and closing transactions, particularly portfolio sales and acquisitions.Advise the business and operations teams on a wide variety of legal issues related to project development, operations, site control, disputes, policy matters, and the regulatory environment.Regular strategizing with the Business Development team to evaluate legal risks and develop procedures to mitigate those risks, as well as to maximize opportunities.Overseeing development activities for solar projects, from negotiating leases, easements, land purchase agreements and full reviews of title work, land surveys etc.Advice and negotiations with respect to Engineering, Procurement, and Construction contracts.Oversee aspects of the company secretary function, managing corporate governance issues and the creation and management of project subsidiaries, with support from the paralegal team, and work with the General Counsel on reports to the Board of Managers and our parent company.Participate in business and deal reviews and investment committee meetings, maintaining independence in counsel while thinking commercially about the Company's interests.Assist in developing best-practice legal procedures, contract forms, and in-house training programs.Advanced written and verbal communication skills.Ability to work well individually and with multiple teams across business units.Strong decision-making abilities based on sound and informed judgment and meticulous attention to detail.Alignment with and execution of the Company's core values on an ongoing basis.Applicants must be authorized to work for any employer in the U.S. We are unable to sponsor or take over sponsorship of employment visas at this time.CompensationThe expected annual compensation range for this position is $180,000 - $230,000, encompassing base pay and potential incentive target opportunity.
